1. Terms of Sale & Service

1.1 Nature of Business
Panomatiq LLC ("Company") is a wholesale distributor of optical products. Access to this website and the purchase of products are restricted to licensed Eye Care Professionals ("Customer"). By creating an account, you verify your status as a licensed practitioner or authorized purchasing agent.
1.2 Ordering & Custom Goods
All prescription lenses are custom-manufactured to Customer specifications. Orders enter "Production" status immediately upon submission and cannot be canceled, modified, or refunded once production has commenced.
1.3 Payment & Invoicing
- Terms: Payments are due Net 15 days from the date of the invoice or via Prepayment, as determined by the Company.
- Flexibility: Panomatiq LLC reserves the right to issue individual invoices per order or consolidated monthly statements (issued on the 1st of the following month).
- Late Fees: Past-due balances will accrue a service charge of 1.5% per month (18% per annum) or the maximum rate permitted by Arizona law.
- Suspension: Failure to pay within terms may result in an immediate "Production Hold" on all open orders.
2. Confidentiality of Wholesale Pricing
2.1 Proprietary Information
Customer acknowledges that the wholesale pricing, tiered discounts, and promotional rates provided within the Panomatiq Portal (collectively, "Pricing Information") are proprietary trade secrets of Panomatiq LLC.
2.2 Non-Disclosure
Customer agrees to hold all Pricing Information in strict confidence. Customer shall not disclose, publish, or reveal any Pricing Information to any third party—including but not limited to competing laboratories, buying groups, or other optical retailers—without the express prior written consent of Panomatiq LLC.
2.3 Permitted Disclosures
Customer may disclose Pricing Information only to its internal employees, accountants, or tax advisors who have a legitimate "need to know" for business operations and who are similarly bound by confidentiality obligations.
2.4 Remedies for Breach
Customer acknowledges that unauthorized disclosure of Pricing Information may cause irreparable harm to Panomatiq LLC's competitive position. In the event of a breach, Panomatiq LLC reserves the right to:
- Immediately terminate the Customer's account and access to the portal.
- Revoke all discounted pricing and rebill previous orders at standard MSRP.
- Seek injunctive relief and monetary damages in the courts of Maricopa County, Arizona.
3. Warranty & Liability Disclaimer
3.1 Pass-Through Warranty
Panomatiq LLC acts as a distributor. All warranties regarding lens material, coating durability, and manufacturing accuracy are provided by the manufacturing laboratory. Panomatiq LLC hereby "passes through" these warranties to the Customer. The Company does not independently warrant the products.
3.2 Limitation of Liability
To the fullest extent permitted by Arizona law, Panomatiq LLC shall not be liable for any indirect, incidental, or consequential damages, including loss of practice profits or patient dissatisfaction. Our total liability is limited strictly to the replacement of the product or a credit of the purchase price.
3.3 Practitioner Responsibility
The Customer is responsible for the accuracy of all prescription data entered. Licensed practitioners must perform a final inspection of all lenses for accuracy against the original prescription prior to dispensing to the patient.
4. HIPAA & Privacy Policy
4.1 Business Associate Status
Panomatiq LLC operates as a Business Associate under HIPAA. We implement administrative and technical safeguards to protect Protected Health Information (PHI) submitted through our portal.
4.2 Data Usage
Patient data (Names/Initials and RX) is used strictly for order fulfillment and identification. We do not sell practitioner or patient data to third parties.
5. Shipping & Returns
5.1 Logistics
Title and risk of loss pass to the Customer upon delivery to the practice address. While Panomatiq utilizes "Direct-Path" logistics for speed, we are not responsible for delays caused by US Customs, the FDA, or third-party carrier force majeure.
5.2 Manufacturing Errors
Claims for manufacturing defects or lab errors must be submitted within 30 days of receipt for a 100% free remake.
5.3 Doctor Redos
As a courtesy, "Doctor Redos" (clinical changes) are available at 50% of the original wholesale cost within 60 days of the original invoice.
6. Governing Law
These terms are governed by the laws of the State of Arizona. Any disputes arising from these terms or the use of this site shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona.
